Parties and acceptance
These Terms of Service ("Terms") are a binding agreement between Growth15 Ltd, a company registered in England and Wales under company number 13552418 ("Trabot", "we", "us"), and the entity that creates a Trabot account or installs the Trabot Shopify app ("Merchant", "you"). By creating an account, installing the app, or using the service you accept these Terms.
The service
Trabot provides an AI sales agent that connects to your Shopify store and your WhatsApp Business Platform number to answer customer messages, recover abandoned checkouts, provide order tracking, run opt-in marketing campaigns, and hand off to a human when appropriate (the "Service").
Accounts and eligibility
You must be at least 18 years old and legally able to enter a contract on behalf of your business. You are responsible for the activity that happens under your account and for keeping login credentials confidential. You must give accurate information and update it when it changes.
Plans, trials, caps, and overage
The Service is offered on subscription plans. Each plan lists a monthly price and included usage caps (for example, number of AI-handled conversations or messages per month). Usage beyond the included cap is billed as overage at the per-unit rate published on the pricing page in effect when the overage is incurred.
Free trials, where offered, convert automatically to the selected paid plan at the end of the trial period unless cancelled before then. Trial length and eligibility are shown at sign-up.
Billing and cancellation
Merchants who install through Shopify are billed by Shopify under Shopify's Merchant Terms; charges appear on your Shopify invoice. Merchants who subscribe directly are billed by Trabot in advance for each billing period.
You may cancel at any time. Cancellation stops future renewals; fees already paid for the current period are non-refundable except where required by law. On cancellation the Service is disabled at the end of the paid period and data is retained and deleted according to the Privacy Policy.
Meta / WhatsApp fees
The WhatsApp Business Platform charges conversation-based fees set and collected by Meta Platforms. Those fees are billed by Meta directly to your WhatsApp Business Account and are not included in your Trabot subscription. You are responsible for paying Meta and for keeping a valid payment method on file with Meta. Trabot does not act as a reseller of Meta's messaging fees.
Merchant obligations
You are responsible for the messages sent from your WhatsApp Business number. In particular, you must:
- Comply with the WhatsApp Business Messaging Policy and Meta's Commerce Policy at all times.
- Obtain valid, documented opt-in consent from each recipient before sending marketing messages, in line with applicable law (GDPR/PECR, TCPA, LGPD, CAN-SPAM, etc.).
- Honour opt-out requests promptly and keep opt-out records for at least the period required by law.
- Provide accurate business information and keep your WhatsApp Business Account, Meta Business Manager, and Shopify store in good standing.
- Ensure the content you send (offers, prices, images, disclosures) is accurate and lawful in each market you target.
Acceptable use
You will not, and will not permit any user to:
- Use the Service to send unsolicited bulk messages, phishing, fraudulent offers, or content prohibited by the WhatsApp Business Messaging Policy.
- Reverse engineer, decompile, or attempt to derive source code of the Service, except to the extent that applicable law expressly permits.
- Circumvent rate limits, security controls, or access controls.
- Use the Service to build a competing product, or to train a model intended to compete with Trabot.
AI output disclaimer
The Service uses third-party large language models to generate replies. AI-generated output can be inaccurate, incomplete, out-of-date, or inappropriate. You are responsible for reviewing agent behaviour, configuring guardrails, and correcting outputs that do not meet your standards. Trabot does not warrant that AI-generated replies will be accurate, non-infringing, or fit for any particular purpose.
Intellectual property
Trabot and its licensors own all right, title and interest in the Service, including all software, models, prompts, and documentation. You retain all right, title and interest in your store data, customer data, and conversation content ("Merchant Data"). You grant Trabot a limited, non-exclusive licence to process Merchant Data solely to provide, secure, and improve the Service.
Data protection
Personal data is processed under the Privacy Policy. Where Trabot processes personal data on your behalf we do so as a processor under a Data Processing Addendum, incorporated by reference into these Terms. Sub-processors, data location, and retention periods are set out in the Privacy Policy.
Warranties and disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranty of any kind, whether express, implied, statutory or otherwise. We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, or exemplary damages, or for loss of profits, revenue, goodwill, or data. Each party's aggregate liability arising out of or relating to these Terms is limited to the fees paid or payable by you to Trabot in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Indemnity
You will defend and indemnify Trabot against third-party claims arising from (a) your breach of these Terms or the WhatsApp Business Messaging Policy, (b) content or products you sell or promote through the Service, or (c) your infringement of a third party's rights.
Term and termination
These Terms start when you first accept them and continue for as long as you have an active subscription or account. Either party may terminate for material breach that is not cured within 30 days of written notice, and Trabot may suspend or terminate immediately for violations of the WhatsApp Business Messaging Policy, security incidents, or unpaid fees. On termination the licence to use the Service ends and data is deleted per the Privacy Policy.
Governing law and disputes
These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, subject to any mandatory consumer-protection rights you have in your country of residence.
Changes to these terms
We may update these Terms from time to time. If a change is material we will notify you in the merchant app and, where you have opted in, by email at least 14 days before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms.
